1. Introduction and Eligibility

TradeLyser ("the Platform" or "the Service") is an advanced, AI-powered trading journal and analytics ecosystem developed to empower traders and investors to systematically record, evaluate, and refine their trading activities. The Platform enables users to import trades automatically through broker integrations, analyse performance metrics, identify behavioural patterns, and derive actionable insights using Elysia AI — our proprietary intelligence engine.

Access to and use of the Platform are strictly subject to these Terms and are available only to natural persons who have attained the age of eighteen (18) years and who possess the legal capacity to enter into binding contracts under the Indian Contract Act, 1872.

You acknowledge and agree that the use of TradeLyser requires compliance with all applicable laws, regulations, and circulars issued by competent authorities in India, including but not limited to the Securities and Exchange Board of India (SEBI), the Reserve Bank of India (RBI), and any recognised stock exchanges such as the National Stock Exchange (NSE) or Bombay Stock Exchange (BSE).

2. Nature of Service

TradeLyser provides tools for journaling trades, generating analytics, producing AI-assisted insights, and integrating with supported brokers or exchanges through authorised APIs. The Platform does not offer investment, financial, or trading advice of any kind.

We are not registered with the Securities and Exchange Board of India (SEBI) as an investment adviser, research analyst, portfolio manager, or broker. All information, analytics, and AI-generated insights made available on or through the Platform are for educational and informational purposes only.

3. Risk Disclosure

Trading in financial markets, including equities, derivatives, commodities, currencies, or crypto assets, carries substantial risk and may result in significant financial loss. Past performance does not guarantee future results, and simulated or hypothetical analytics cannot replicate actual trading outcomes.

You acknowledge that you are fully aware of these risks and agree to use the Platform only with funds you can afford to lose. The Platform and its analytics cannot ensure profits or protect against losses.

4. Accounts and Security

To access certain features of TradeLyser, you must create an account using accurate and complete information. You agree to keep this information updated and to maintain the confidentiality of your login credentials.

You are solely responsible for all activities that occur under your account, regardless of whether such activity is authorised by you. If you become aware of any unauthorised use of your account or any other breach of security, you must notify us immediately.

5. Subscriptions, Billing, GST, and Refunds

TradeLyser offers both free and paid subscription plans that provide access to varying levels of functionality. Paid Plans are billed in advance on a recurring monthly or annual basis in Indian Rupees (₹), exclusive or inclusive of Goods and Services Tax (GST) as displayed at checkout.

You may cancel your subscription at any time through your account settings, after which access will continue until the end of the current billing period. Except as required by law, all fees are non-refundable, and partial-term cancellations will not be eligible for pro-rated refunds.

6. Data Imports, Broker Integrations, and Market Data

By using our data import or broker-sync features, you authorise TradeLyser to securely connect to third-party brokers, depositories, or exchanges to retrieve your trading data. Such access is typically read-only and limited to the scope required for the Platform's analytical functions.

We do not request, store, or have access to your broker passwords. You acknowledge that data retrieved from third-party APIs or imported files may contain inaccuracies, delays, or omissions.

7. User Content and Acceptable Use

You may upload or generate content such as trade logs, strategies, notes, screenshots, comments, and tags ("User Content"). You retain ownership of your User Content but grant TradeLyser a worldwide, non-exclusive, royalty-free licence to host, process, and display such content solely to operate and improve the Platform.

You agree not to upload or share unlawful, defamatory, obscene, infringing, or otherwise harmful content, nor to transmit malware, spam, or other malicious code.

8. AI Features (Elysia AI)

TradeLyser incorporates AI-driven capabilities, including Elysia Assistant, Elysia Analytics, and other AI insights. These features use algorithms to generate summaries, insights, and recommendations based on your trading data and user inputs.

You acknowledge that AI outputs are generated predictions or interpretations and may be inaccurate, incomplete, or outdated. They are intended solely as assistive tools and do not constitute professional or investment advice.

9. Intellectual Property Rights

All materials forming part of the Platform, including software, interfaces, designs, analytics, documentation, and logos, are the exclusive property of TradeLyser or its licensors.

You receive a limited, non-exclusive, non-transferable, revocable licence to use the Platform during the term of your active subscription. You may not copy, modify, reproduce, distribute, reverse-engineer, or create derivative works from any part of the Platform.

10. Privacy and Data Protection

TradeLyser respects your privacy and processes personal data in compliance with the Digital Personal Data Protection Act, 2023 (DPDP) and applicable Indian IT Rules. Our Privacy Policy describes how we collect, use, retain, and protect your information.

You may exercise your data protection rights or lodge a complaint by contacting our Grievance Officer at legal@tradelyser.com. We endeavour to acknowledge grievances within forty-eight (48) hours and resolve them within thirty (30) days.

11. Service Availability and Modifications

TradeLyser strives to maintain continuous availability but cannot guarantee uninterrupted access. Periodic maintenance, system upgrades, or external outages may cause temporary service disruptions.

12. Disclaimers of Warranty

The Platform and all its content, data, and analytics are provided on an "as is" and "as available" basis without any express or implied warranties. To the maximum extent permitted by law, TradeLyser disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or availability.

13. Limitation of Liability

To the fullest extent permitted under Indian law, TradeLyser, its affiliates, officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption.

Our total aggregate liability for all claims arising within any twelve-month period shall not exceed the greater of (a) the amount paid by you to TradeLyser in the preceding three (3) months, or (b) ₹10,000 (Rupees Ten Thousand).

14. Indemnification

You agree to indemnify, defend, and hold harmless TradeLyser, its directors, employees, affiliates, and licensors from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, your content, or your violation of any rights of another person or entity.

15. Termination and Suspension

TradeLyser reserves the right to suspend or terminate your access to the Platform immediately if we believe you have violated these Terms, engaged in fraudulent activity, failed to pay due fees, or created risks for other users or for us.

Upon termination, your right to access the Platform ceases immediately, and we may delete or disable your account data according to our retention policy.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation.

If unresolved within thirty (30) days, the matter shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat and venue of arbitration in Chennai, Tamil Nadu, India.

17. Changes to Terms

TradeLyser may update or modify these Terms periodically. Material changes will be communicated via email, in-app notifications, or on our website at least seven (7) days prior to the effective date.

Continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to any revised Terms, you must discontinue use of the Platform.

18. Miscellaneous Provisions

These Terms, together with our Privacy Policy and any referenced addenda, constitute the entire agreement between you and TradeLyser regarding your use of the Platform and supersede any prior agreements.

You may not assign or transfer your rights or obligations without our prior written consent; we may assign our rights to an affiliate or successor entity.

3. Categories of Cookies We Use

a) Strictly Necessary Cookies These Cookies are essential for the Platform to function correctly. They enable core features such as authentication, secure log-ins, payment processing, and account settings. Because they are required for basic functionality, you cannot opt out of them. Examples: Session identifiers, CSRF tokens, authentication tokens.

b) Functional Cookies Functional Cookies remember your preferences and custom settings to enhance your experience. They may store your theme (dark/light), language, or saved form data. Examples: UI layout preferences, time-zone selection.

c) Performance & Analytics Cookies These Cookies collect anonymised or aggregated data about how users interact with the Platform—such as pages visited, session duration, or features used. We use this information to improve usability and performance. Examples: Google Analytics, PostHog, or similar tools (if used). We ensure that no personally identifiable information (PII) is stored in analytics cookies unless consented explicitly.

d) AI & Product-Improvement Cookies Certain Cookies support our AI modules (Elysia AI) by capturing anonymised interaction logs or feedback for continual model improvement. Such data is pseudonymised and processed in compliance with the Digital Personal Data Protection Act 2023. Examples: Conversation metadata, feature-usage metrics.

e) Advertising or Third-Party Cookies Currently, TradeLyser does not serve third-party advertising. However, if we collaborate with partners in the future, Cookies from analytics, payment, or referral partners may be placed for attribution tracking. Any such addition will be transparently disclosed, and you will have the opportunity to provide or withdraw consent.

4. How We Obtain Consent

Upon your first visit to the Platform, a cookie-consent banner appears at the bottom or top of the screen explaining the use of Cookies.

You may: Accept all Cookies to allow full functionality; Reject non-essential Cookies (strictly necessary Cookies will remain active); or Customise preferences through our Cookie Settings panel.

Your preferences are stored via a small functional cookie for 12 months, after which you may be asked again to reconfirm consent as per DPDP and best-practice guidelines.

5. Managing or Disabling Cookies

TradeLyser may integrate secure third-party tools for analytics, payment, or communication (for example, Google Analytics, Razorpay, Supabase, or Intercom). These partners may place their own Cookies in accordance with their privacy policies. We ensure contractual safeguards requiring compliance with Indian data-protection standards and international best practices.

7. Duration and Retention

Session Cookies expire automatically when you log out or close the browser. Persistent Cookies remain on your device for up to 12 months, unless deleted earlier. Analytics or functional cookies are periodically purged during system maintenance.

Data derived from Cookies may be aggregated and anonymised for trend analysis, after which it no longer constitutes Personal Data under the DPDP Act 2023.

This Privacy Policy ("Policy") explains how NeuRelic Labs operating under the brand TradeLyser ("TradeLyser", "we", "us", or "our"), collects, uses, stores, discloses, and protects personal data when you access or use our websites, web or mobile applications, browser extensions, APIs, or any related services (collectively, the "Platform").

TradeLyser is committed to safeguarding your privacy and handling your data responsibly, transparently, and in accordance with the Digital Personal Data Protection Act, 2023 ("DPDP Act"), the Information Technology Act, 2000, and other applicable data protection and consumer laws in India.

By accessing or using the Platform, you agree to the collection and use of your information in accordance with this Policy. If you do not agree, please discontinue use of the Platform.

1. Scope and Applicability

This Privacy Policy applies to all users of TradeLyser, including individuals, professionals, and organisations using our Platform for journaling, analytics, or educational purposes. It governs all data we collect—whether through automated means, manual submissions, third-party integrations, or authorised broker connections.

This Policy does not apply to third-party websites, apps, brokers, or services linked to or integrated with TradeLyser. These third parties are governed by their own privacy practices, and we encourage you to review their policies independently.

2. Definitions

For the purpose of this Policy: "Personal Data" means any data about an individual who is identifiable by or in relation to such data, as defined under Section 2(t) of the DPDP Act, 2023. "Data Principal" means the individual to whom the Personal Data relates (referred to as "you" or "user"). "Data Fiduciary" means the entity that determines the purpose and means of processing Personal Data, which in this case is TradeLyser. "Processing" includes collection, storage, use, sharing, transfer, or erasure of data. "Sensitive Personal Data" refers to categories of data that may include financial, biometric, or health information, where applicable under Indian law. "Non-personal or aggregated data" means anonymised information that cannot identify you.

3. Information We Collect

We collect information directly from you, automatically through your interactions with the Platform, and from third-party sources where authorised. The types of information collected include:

a) Information You Provide Directly Full name, contact details, and demographic information when registering for an account. Login credentials (email address, username, encrypted password). Financial and trading data uploaded manually or through imports (e.g., trade history, order logs, instrument details). Notes, screenshots, strategy entries, and tags created by you within the Platform. Billing and payment information, including GST number (if applicable), billing address, and payment method (processed via secure third-party gateways). Support requests, feedback, or communications with our customer success or AI assistant features.

b) Information Collected Automatically Log data, IP address, browser type, device identifiers, operating system, date and time of access, session duration, and referring URLs. Usage patterns, feature interactions, and activity metrics within the Platform for analytics and performance optimisation. Cookies and local storage identifiers (see Section 10).

c) Information from Third Parties Broker, exchange, or depository data retrieved via authorised APIs or integrations, strictly with your consent. Market data and financial instrument information from data vendors. Authentication and verification information from payment providers or identity services (if applicable).

4. Legal Basis for Processing

TradeLyser processes your Personal Data under one or more of the following lawful bases as provided under the DPDP Act: Consent: You have given consent for one or more specific purposes. Performance of a Contract: Processing is necessary to provide the Platform's services to you. Legal Obligation: Processing is necessary to comply with applicable laws, taxation, accounting, or regulatory requirements. Legitimate Interest: Processing is required to improve services, prevent fraud, ensure cybersecurity, or maintain business continuity, provided it does not override your rights.

You may withdraw consent at any time (see Section 12), but doing so may limit or disable certain features of the Platform.

5. How We Use Your Information

We use Personal Data for the following purposes: Account Management: To register, authenticate, and maintain your account and profile. Service Delivery: To provide journaling, analytics, trade import, autosync, and AI-assisted insights. Billing and Payments: To process transactions, manage subscriptions, and issue tax invoices (including GST compliance). AI Insights: To generate personalised or aggregated analytics through Elysia AI, which may process trade data, notes, or performance trends. Communication: To send service updates, alerts, and transactional or marketing communications (where permitted). Security and Compliance: To detect and prevent fraud, unauthorised access, or violations of our Terms of Service. TradeLyser does not sell, rent, or trade your Personal Data for profit. Any processing for analytics or AI purposes is conducted in a privacy-preserving, aggregated, or pseudonymised manner wherever possible.

6. Data Sharing and Disclosure

We may share Personal Data under controlled circumstances with: Service Providers: Trusted third parties that provide hosting, analytics, payment processing, customer support, or AI infrastructure. Broker/Exchange Partners: Only when you authorise broker sync or import functionality. Regulatory or Legal Authorities: Where required by applicable law, legal process, or governmental request. Affiliates and Successors: Within our corporate group or as part of a merger, acquisition, or business transfer, ensuring equal or stronger privacy standards. Others with Consent: Any sharing explicitly consented to by you.

7. Data Retention

We retain Personal Data for as long as necessary to fulfil the purposes outlined in this Policy, including maintaining your account, providing services, complying with legal obligations, and resolving disputes. Upon account deletion or withdrawal of consent, your data is securely deleted, anonymised, or retained only as required by law (e.g., for tax or accounting). Backups and system logs may persist temporarily for disaster recovery purposes.

8. Data Security

TradeLyser employs industry-standard security controls to protect Personal Data against loss, misuse, unauthorised access, alteration, or destruction. Measures include: Encryption of data in transit (TLS/HTTPS) and at rest (where applicable). Role-based access control (RBAC) for employees and contractors. Secure token-based broker authentication (OAuth). Regular vulnerability testing and monitoring of systems. Enforced password policies, two-factor authentication, and session controls.

While we strive to protect your data, no system is entirely immune to risks. You acknowledge that data transmission over the internet involves inherent risks, and TradeLyser cannot guarantee absolute security.

9. Your Rights Under the DPDP Act

As a Data Principal, you have the following rights under the Digital Personal Data Protection Act, 2023: Right to Access: To know what personal data is being processed and for what purpose. Right to Correction: To request correction or updating of inaccurate or incomplete data. Right to Erasure: To request deletion of personal data when it is no longer necessary for the purpose collected. Right to Grievance Redressal: To raise complaints about misuse or unauthorised processing. Right to Nominate: To nominate another individual to exercise your rights in case of death or incapacity.

Requests to exercise these rights may be submitted to our Grievance Officer (see Section 13). We will verify your identity before processing such requests and respond within statutory timelines.

10. Cookies and Tracking Technologies

We use cookies, web beacons, and local storage technologies to enhance the user experience, maintain sessions, and analyse traffic. Cookies may store preferences, authentication tokens, and anonymised analytics identifiers. 11. Cross-Border Data Transfers

TradeLyser primarily stores and processes data within India. However, some data may be transferred to or processed in servers located outside India (e.g., by cloud service providers or AI infrastructure vendors). Such transfers occur only under lawful bases permitted by Indian law and through contractual arrangements ensuring adequate privacy protection and compliance with applicable data protection standards.

12. Consent Withdrawal and Account Deletion

You may withdraw consent for data processing or request deletion of your account at any time by contacting us at support@tradelyser.com or using in-app settings. Upon withdrawal, TradeLyser may be unable to continue providing certain services. Some data may continue to be retained to comply with legal, accounting, or regulatory obligations.

14. Children's Privacy

TradeLyser is not intended for individuals under the age of eighteen (18). We do not knowingly collect or process Personal Data of minors. If we become aware that a minor's data has been collected without appropriate consent, we will delete such data promptly.

15. Policy Updates

We may update or revise this Privacy Policy periodically to reflect changes in our practices, technology, or legal obligations. Updated versions will be posted at tradelyser.com/legal/privacy-policy with the revised "Last Updated" date. Material changes will be communicated through in-app notifications or email where appropriate. Continued use of the Platform after such updates constitutes your consent to the revised Policy.

16. Disclaimer

TradeLyser provides data analytics and AI features for educational and analytical use only. While we prioritise user privacy and implement strong data protection standards, users should ensure that they do not upload confidential, proprietary, or third-party data without proper authorisation. The use of broker or exchange integrations is optional and governed by your consent and each provider's own data policies.

17. Governing Law and Jurisdiction

This Privacy Policy and all disputes arising from it are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts at Chennai, Tamil Nadu, India without prejudice to the rights of arbitration or mediation available under applicable laws.

Billing, Cancellation & Refund Policy — TradeLyser

This Billing, Cancellation & Refund Policy ("Policy") describes how subscription charges, renewals, cancellations, and refund requests are handled for users of TradeLyser, operated by NeuRelic Labs Pvt Ltd, having its registered office at Adambakkam, Chennai 600088 ("TradeLyser", "we", "us", or "our").

By purchasing, renewing, or maintaining a subscription to TradeLyser, you ("User", "you") agree to this Policy in addition to our Terms & Conditions and Privacy Policy.

1. Overview of Paid Services

TradeLyser offers paid subscription plans that provide access to premium tools, analytics, AI features, and broker integrations ("Paid Services"). All pricing, billing frequency, and feature entitlements for each plan are displayed transparently on our official website or within your account dashboard. We reserve the right to modify, replace, or discontinue any plan or feature at our discretion, with reasonable prior notice to active subscribers.

2. Pricing and Taxes

All subscription prices are denominated in Indian Rupees (₹) and are either exclusive or inclusive of applicable taxes, as stated during checkout. Where required, Goods and Services Tax (GST) or any other indirect taxes shall be charged at prevailing rates. Users who are GST-registered entities may enter their valid GSTIN to receive tax-compliant invoices.

TradeLyser may, from time to time, offer limited-period promotional pricing, bundle discounts, or trial offers. Such promotions are discretionary and cannot be combined with other offers unless explicitly stated. Pricing for subscription renewals is subject to revision; however, existing users will be notified reasonably in advance of any change before the next billing cycle.

3. Payment Methods and Processing

Payments for subscriptions are processed securely through authorised payment gateways in compliance with Reserve Bank of India (RBI) regulations and applicable card network rules. Accepted payment methods may include debit or credit cards, Unified Payments Interface (UPI), net banking, or other modes supported by our payment partners.

When you purchase or renew a subscription, you authorise TradeLyser and its payment processors to charge the selected payment method for the applicable plan amount on a recurring basis (monthly or annually, as chosen). For card or UPI-based recurring payments, users must complete an Additional Factor Authentication (AFA) as per the RBI's e-mandate framework for recurring transactions.

If automatic payment attempts fail—for reasons such as insufficient funds, expired card, or revoked mandate—we may suspend account access until successful payment. We are not responsible for delays or rejections by your bank or payment provider.

4. Free Trials and Promotional Access

From time to time, TradeLyser may offer free trials or discounted introductory periods for new users. The duration of such trials will be clearly indicated during signup. Upon the expiry of a trial, unless you cancel before the end of the trial period, your selected payment method will automatically be charged for the next billing cycle. TradeLyser reserves the right to modify, limit, or terminate free trial offers at any time without prior notice.

5. Subscription Renewal and Auto-Debit

Subscriptions automatically renew at the end of each billing cycle unless cancelled in accordance with Section 6 below. Renewal occurs at the then-current rate applicable to your plan. You will receive a confirmation email or in-app notification prior to renewal whenever feasible.

By maintaining an active subscription, you acknowledge and authorise us to continue charging recurring payments to your saved payment method, including for renewals processed through RBI-mandated standing instructions or e-mandates. You are responsible for ensuring that your payment details remain valid and updated.

6. Cancellations

You may cancel your subscription at any time by visiting Settings → Billing → Cancel Subscription in your TradeLyser account. Upon cancellation, you will continue to have access to all paid features until the end of your current billing period. No additional charges will apply after that period.

Cancellations take effect immediately for trial users who have not converted to paid plans. For paid users, the plan remains active until expiry, after which your account will automatically revert to the free tier (if available) or be restricted to limited access.

Deleting your TradeLyser account or uninstalling the app does not automatically cancel your subscription—you must perform cancellation explicitly through the billing interface or request it via email at support@tradelyser.com.

7. Refund Policy

TradeLyser follows a no-refund policy for all successfully processed payments once the billing period begins. Subscription fees are non-refundable and non-transferable, irrespective of usage levels, feature adoption, or early cancellation.

Refunds are generally not issued for: Partial use of the subscription period. Unused AI prompt credits, add-ons, or integrations. Downgrades or switching between plans mid-term. Failure to cancel before renewal. Account suspension due to violation of Terms of Service.

However, TradeLyser may, at its sole discretion, process a full or partial refund in exceptional circumstances, including: Duplicate payments made due to a technical error. Proven transaction failures resulting in double charge. Legal requirement under applicable consumer protection law.

All approved refunds will be processed to the original payment method within 7–14 business days, depending on the bank or payment processor timelines.

8. Upgrades and Downgrades

When you upgrade to a higher plan, the system may apply pro-rated charges or credits based on the remaining period of your existing subscription. Upgrades become effective immediately upon payment confirmation.

If you downgrade to a lower plan, the change takes effect at the end of your current billing cycle. Features, AI quotas, or data access associated with the higher plan will be reduced or restricted accordingly after the downgrade becomes effective.

9. Invoices and Receipts

After each successful payment, a digital invoice and payment receipt will be issued automatically to your registered email address and available for download in your account dashboard. For GST-registered users, invoices will include TradeLyser's GSTIN, place of supply, and applicable tax breakup in compliance with Indian invoicing standards.

You are responsible for maintaining your own billing records and submitting the correct GST details prior to payment. Retroactive corrections to GST invoices may not be possible once the invoice is generated.

10. Failed Payments and Account Suspension

If a payment attempt fails or a recurring charge is declined, the system may retry automatically after a short interval. After multiple failed attempts, your account may be placed in suspended or read-only mode until dues are cleared. We may also temporarily restrict data imports, autosync, or AI usage until payment is successful.

Continued non-payment beyond the due date may result in account termination and permanent deletion of your analytics or data logs in accordance with our Data Retention Policy. TradeLyser will make reasonable efforts to notify you before suspension or termination.

11. Chargebacks and Disputes

Initiating an unjustified chargeback or payment dispute with your card issuer or bank may lead to immediate suspension or termination of your account. If you believe a payment was processed in error, please contact support@tradelyser.com before raising a dispute. We will review your request and provide supporting documentation where required.

Any legitimate disputes will be resolved in accordance with applicable consumer laws and the Terms & Conditions governing your use of the Platform.

12. Billing Errors

If you believe you have been incorrectly billed, you must notify us in writing within seven (7) days of the billing date by emailing support@tradelyser.com. Failure to notify within this period shall constitute your acceptance of the corresponding charge. Upon verification, if an error is confirmed, a refund or adjustment will be processed to your original payment method.

13. Compliance with Indian Laws

TradeLyser complies with all applicable laws, including but not limited to the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, and the Consumer Protection (E-commerce) Rules, 2020. All payment transactions are encrypted and processed through PCI-DSS-compliant gateways. The company's billing operations adhere to the RBI's e-mandate framework for recurring payments and relevant taxation laws administered by the Central Board of Indirect Taxes and Customs (CBIC).

14. Modifications to This Policy

We may update or amend this Billing & Refund Policy periodically to reflect changes in pricing structures, payment methods, or regulatory requirements. Updates will be posted on tradelyser.com/legal/billing-refund-policy with the revised effective date. Material changes will be communicated via email or in-app notifications prior to enforcement. Continued use of the Platform after such changes constitutes acceptance of the revised Policy.
